These terms cover the apps and web games published by Akrasia Studios, LLC ("we," "us"): Out Loud, On the Hook, Keystone, Ninefold, and Laddra, whether you use them as an app or in a browser. By using one of them, you agree to these terms. If you don't, please don't use it. How we handle your information is covered separately in our privacy policy.
Who can use our apps
You need to be old enough to agree to these terms where you live; if you aren't, a parent or guardian has to agree for you. On the Hook depicts simulated sports wagering and is for adults only. You must be 18 or older to use it. Our kids' games will have their own terms before they ship.
What you get
We give you a personal, non-exclusive, non-transferable license to use our apps on devices you own or control, for your own non-commercial use, under the usage rules of the store you got them from. We keep all rights we don't explicitly give you here, including in the apps themselves, their artwork, text, puzzles, word lists, and names. You must also follow any third-party terms that apply when you use our apps, such as your wireless carrier's data agreement.
On the Hook is a simulation
On the Hook is a game. It is not gambling and it is not a sportsbook.
- There is no real money wagering, no deposits, and no withdrawals.
- Chips, boosts, and anything else inside the game are paper. They have no cash value, cannot be bought from us, cannot be sold, traded, or transferred, and cannot be exchanged for money or anything of value.
- Nothing in the app is betting advice, and odds shown in the game are for simulation only. Don't make real wagering decisions based on it.
- We are not affiliated with any sportsbook, league, or team.
Your in-game balance is part of the game, not property. We may adjust, reset, or remove in-game items and balances, for example to fix a bug, correct an exploit, or rebalance the game, without owing you anything.
Your handle and what other people see
On the Hook has a public leaderboard. The handle you choose, your simulated net worth, and your betting record are visible to other players. Ninefold shows the three-letter tag you pick next to your daily score. In Out Loud, the display name you pick and the lines you leave in a Circle are visible to the people in that Circle, and lines you submit to the shared library are visible to everyone once we've reviewed them. You own what you type; you give us a license to show it inside the game and to the other people playing it, which is the only thing we do with it.
Don't use a handle, tag, or group name containing anything you wouldn't want public, anyone else's name, or anything offensive. Handles and tags are screened automatically before they post; screening isn't perfect, so in On the Hook you can report or block another player from inside the app, and for Ninefold tags and anything in Out Loud you can report it by emailing hello@akrasiastudios.com. We may change or remove a handle, tag, or group name, or remove someone from the leaderboard, at our discretion. Handles are written by players, not by us, and we don't endorse them.
Fair play
Please don't:
- cheat, exploit bugs, or manipulate a game's economy, standings, or leaderboard;
- use bots, scripts, or automated tools against our apps or servers;
- reverse engineer, decompile, or tamper with our apps, except where the law says you may;
- interfere with our servers, or try to access accounts or data that aren't yours;
- use our apps to break the law.
If you do, we may limit or end your access.
Ads
On the Hook is free and funded by ads, including rewarded ads you choose to watch. What advertisers collect, and how to keep ads from being personalized, is described in our privacy policy. Our other apps don't show ads.
Purchases and subscriptions
Purchases in our apps go through Apple, under Apple's terms, and Apple handles refunds. Out Loud offers a subscription: it renews automatically at the price shown in the App Store, for the period shown there, until you cancel it in your Apple ID settings at least 24 hours before the renewal date. Grace packs in Out Loud and unlocks in our kids' games are one-time purchases. Nothing you buy has cash value or can be exchanged outside the app.
Where our apps are available
Our apps are offered from the United States and intended for use there. We make no claim that they're appropriate or available elsewhere, and you're responsible for complying with your own local laws if you use them from outside the US. You confirm that you are not in a country under a U.S. government embargo or designated by the U.S. government as supporting terrorism, and that you are not on any U.S. government list of prohibited or restricted parties.
Changes, and stopping
We may update our apps, change how they work, or stop offering them. We'll update the date above when these terms change, and for anything significant we'll say so in the app and ask you to accept the new version. You can stop using an app at any time by deleting it.
No warranty
Our apps are provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We don't promise the apps will be uninterrupted, error-free, or that data will never be lost. Sports data, odds, and scores come from a third-party provider and may be delayed, incomplete, or wrong. Some places don't allow these disclaimers, so some of this may not apply to you.
Limits on our liability
To the fullest extent the law allows, we aren't liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of our apps. Where liability can't be excluded, our total liability to you is limited to the greater of the amount you paid us in the past twelve months (which for a free app is nothing) or $50. Nothing here limits liability that can't be limited under the law where you live.
Disputes and arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. It requires you and us to resolve most disputes through individual arbitration rather than in court, and it includes a waiver of jury trials and class actions. You can opt out within 30 days.
Talk to us first
Most problems are fixable by email. Before starting arbitration or a lawsuit, you agree to email us at hello@akrasiastudios.com with your name, the app, the handle or tag you use if any, what went wrong, and what you'd like us to do, and to give us 60 days to work it out with you. We'll do the same before starting anything against you. The 60 days pause any deadline for filing.
Agreement to arbitrate
If we can't resolve it, you and we agree that any dispute, claim, or controversy between you and Akrasia Studios, LLC that arises out of or relates to these terms or our apps will be resolved by binding individual arbitration rather than in court. The arbitrator, not a court, decides whether a dispute is covered by this section and whether this section is enforceable, with one exception: only a court may decide whether the "One at a time" paragraph below is enforceable. This agreement is governed by the Federal Arbitration Act.
The exceptions: either of us may bring an individual claim in small claims court if it qualifies there, and either of us may ask a court for an order to stop infringement or misuse of intellectual property. Nothing in this section prevents you from bringing a matter to a federal, state, or local agency, and if the law where you live gives you a right to seek public injunctive relief, you may seek it in court; that claim will be stayed until the arbitration of your other claims is finished.
How arbitration works
The arbitration will be run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are at adr.org. If the AAA can't or won't administer it, we'll agree on another provider, or a court will pick one. One arbitrator decides the case. The arbitrator must follow these terms and the law, can award you the same individual relief a court could, and will give a short written decision on request. Filing fees and the arbitrator's fees are set by the AAA's consumer rules; your share is capped as those rules provide, and we pay the rest. We will pay our share within 30 days of each invoice; if we don't, you may withdraw from the arbitration and bring your claim in court, as California law provides. If the arbitrator finds a claim frivolous or brought in bad faith, the arbitrator may shift fees the way a court could. Hearings, if any, take place in the county where you live or by video, at your choice. The arbitrator's award can be entered as a judgment in any court with jurisdiction.
One at a time
You and we agree to bring claims only in our own names, not as a plaintiff or class member in any class, consolidated, or representative action, and the arbitrator may not consolidate another person's claims with yours or award relief that affects anyone other than you. If a court decides this paragraph can't be enforced for a particular claim, that claim will be decided in court rather than arbitration, and the rest of the dispute still goes to arbitration.
If 25 or more similar claims are filed against us by the same lawyers or in coordination, the AAA's Mass Arbitration Supplementary Rules apply, and the parties will work with the AAA to resolve them in batches so that fees are proportionate.
Jury trial
By agreeing to arbitrate, you and we each give up the right to a trial by jury for claims covered by this section.
Opting out
You can reject this arbitration agreement by emailing hello@akrasiastudios.com within 30 days of accepting this version of these terms, with the subject line "Arbitration opt-out," your name, and the app you use. The same 30 days apply if you accepted an earlier version and are now accepting this one. If you opt out, the rest of these terms still apply, and disputes go to the courts named below. Opting out has no effect on your use of our apps. If we change this section again later, you'll have 30 days from accepting the change to reject it in the same way, and the version you last accepted will continue to apply.
Governing law and where disputes go
These terms are governed by the laws of the State of California, without regard to its conflict of laws rules, and by the Federal Arbitration Act as to the arbitration section. Any dispute that isn't arbitrated will be brought only in the state or federal courts in Los Angeles County, California, and we each consent to those courts. If you live in California, nothing here takes away protections that California law gives you as a consumer.
Apple
If you got an app from the Apple App Store, these additional terms apply, and Apple requires us to say them plainly.
- These terms are between you and Akrasia Studios, LLC only, not Apple. We, not Apple, are responsible for the app and its content.
- Your license is limited to a non-transferable license to use the app on Apple-branded products that you own or control, as the App Store's usage rules allow, including through Family Sharing where the rules permit it.
- We are solely responsible for maintenance and support of the app. Apple has no obligation to provide any.
- If the app fails to conform to any warranty that applies, you may notify Apple, and Apple will refund the purchase price (for a free app, nothing). Apple has no other warranty obligation, and any other claim arising from a failure to conform to a warranty is our responsibility.
- We, not Apple, are responsible for addressing any claim by you or a third party relating to the app or your use of it, including product liability claims, claims that the app fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy, or similar laws.
- If a third party claims the app infringes its intellectual property rights, we, not Apple, are responsible for investigating, defending, settling, and discharging that claim.
- Apple and its subsidiaries are third-party beneficiaries of these terms, and on your acceptance Apple has the right to enforce them against you.
